Flutter issues unclaimed shares reminder to former The Stars Group investors
TSG shareholders given until 2023 to claim Flutter shares through brokerage service or forfeit all future entitlements
Flutter Entertainment has reminded former The Stars Group (TSG) shareholders to claim the ordinary shares which they are entitled to under the terms of the multi-billion-pound merger between the two businesses. As part of the merger agreement, which completed in May, TSG shareholders are entitled to 0.2253 of a Flutter share for each TSG common share held on the effective date for the completion. In order to receive Flutter shares, TSG shareholders must complete a letter of transmittal and provide all TSG share certificates to Computershare Investor Services, which acted as share depository for shares generated as a result of the merger. Flutter has confirmed all registered holders of TSG shares will be contacted about the availability of Flutter shares with a blank letter of transmittal for completion. Non-registered TSG shareholders, or those who own shares in a beneficial capacity (through a relative or decedent), can claim Flutter shares through an investment broker. All Flutter shares claimed will be issued in ‘certificated’ form by default. Former TSG shareholders who wish to hold their Flutter shares in ‘uncertificated’ form will need to take steps to convert the certificated Flutter shares to uncertificated form. Only Flutter shares held in uncertificated form can be traded electronically on the London Stock Exchange and Euronext Dublin stock exchange. Under the share claims process, any Flutter shares not claimed by former TSG shareholders by 4 May 2023 will be deemed to have been surrendered and will be transferred directly to Flutter ownership. This includes all entitlement to future dividends, distributions and any interest payable. As of 30 June 2020, a total of 154,625,002 ordinary shares in Flutter were in issuance, based on a nominal value of €0.09 each, with each share carrying the right to one vote. The company also holds 1,965,600 ordinary shares in treasury, which do not carry voting rights.
